1. Agreement to Terms

These Terms of Service ("Terms") are a legal agreement between you and SEEDSPROUTER PRIVATE LIMITED ("we", "our", "us"), the company behind Quantro. By creating an account or using the Quantro platform at quantro.finance, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the platform.

2. What Quantro Does

Quantro is a SaaS platform for startup founders and angel investors. It enables founders to manage investor relationships, send structured updates, track cap tables, and maintain document repositories. Angel investors can track their portfolio companies and deal pipeline.

3. Eligibility

• You must be at least 18 years old to use Quantro.
• If you are using Quantro on behalf of a company, you represent that you have authority to bind that company to these Terms.
• Quantro is intended for legitimate business use in managing investor relationships and financial records.

4. Accounts

• You are responsible for maintaining the security of your account credentials.
• You must provide accurate and complete information when creating your account.
• You are responsible for all activity that occurs under your account.
• Notify us immediately at team@quantro.finance if you suspect unauthorised access to your account.

5. Subscription Plans & Pricing

Quantro offers Core and Pro subscription plans. Full details of current features and pricing are available on the pricing page. Prices are subject to change with 30 days' prior notice to active subscribers.

6. Payment

Paid subscriptions are billed in advance on a monthly or annual basis. Payments are processed by our payment provider; by subscribing you agree to that provider's terms of service. Applicable taxes will be charged as required by Indian law. If a payment fails, access to paid features may be suspended until payment is resolved.

7. Refund Policy

You may request a full refund within 7 days of your initial subscription payment or any renewal payment. Refund requests must be submitted to team@quantro.finance with your registered email address and reason for the refund.

Refunds are processed manually and will be completed within 7–10 business days of approval. Refunds are not available after the 7-day request window. We reserve the right to deny refund requests that show evidence of abuse.

8. Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to Pro features until the billing period ends. No partial refunds are issued for unused time beyond the 7-day refund window.

9. Acceptable Use

You agree not to:

• Use Quantro for any unlawful purpose or in violation of applicable Indian law.
• Upload false, misleading, or fraudulent financial data.
• Attempt to reverse engineer, hack, or disrupt the platform or its infrastructure.
• Share your account credentials with unauthorised third parties.
• Use the platform to send unsolicited communications (spam) to investors or other users.
• Impersonate any person or entity.

10. Your Data & Content

You retain ownership of all data, financial records, documents, and content you upload to Quantro. By using the platform, you grant us a limited licence to store, process, and display your content solely to provide the service to you.

You are responsible for ensuring that any data you upload does not violate the rights of third parties or applicable law.

11. Intellectual Property

The Quantro platform, including its design, code, trademarks, and content, is owned by SEEDSPROUTER PRIVATE LIMITED. You may not copy, modify, distribute, or create derivative works from any part of the platform without our express written permission.

12. Disclaimer of Warranties

Quantro is provided "as is" and "as available". We do not warrant that the platform will be uninterrupted, error-free, or free from security vulnerabilities. We are not responsible for the accuracy of financial data you enter into the platform.

Quantro is a record-keeping and communication tool only. It is not a SEBI-registered investment advisor, portfolio manager, or financial intermediary. Nothing on Quantro constitutes financial, legal, or investment advice. All investment decisions are solely your responsibility.

13. Limitation of Liability

To the maximum extent permitted by Indian law, SEEDSPROUTER PRIVATE LIMITED shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of Quantro. Our total liability to you for any claim shall not exceed the amount you paid us in the 3 months preceding the claim.

14. Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees. Upon termination, your right to access the platform ceases. You may request an export of your data prior to termination.

15. Changes to Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the platform after changes constitutes acceptance of the updated Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of India.
